Terms of service

These terms cover use of this website and, together with a signed order, the Keelson service. The service is provided by Hubrig Crew Marketing LLC, a Tennessee limited liability company operating as Keelson Intelligence ("HCM", "we", "us"). By using the website or the service you agree to these terms. They are a draft and will be reviewed by counsel before they are final.

The service

Keelson responds to and follows up on inbound sales leads on a dealership's behalf, books appointments and reports on the results. The dealership remains responsible for what it sells, the accuracy of its inventory feed and the policies it approves for the agent.

Subscriptions

• Plans are annual, billed monthly, or month to month, as stated on the order.
• In the first annual term, a dealership may cancel with 90 days' notice.
• A one-time setup fee covers integration and messaging registration, as listed on the order.
• There are no per-appointment or per-lead fees.

Messaging compliance

Keelson sends text messages only on registered campaigns, honours opt-out requests immediately and observes quiet hours. The dealership agrees to collect consent at the point a lead is captured and to use the service only to contact people who have asked to hear from it.

Data and licence to HCM

The dealership keeps ownership of the records it submits to the service and may export its conversation data at any time at no charge. The dealership grants HCM a perpetual, irrevocable, worldwide, royalty-free licence to collect, store, use, reproduce, analyse, combine, aggregate, de-identify, create derived works from, license, sell and otherwise commercialise all data submitted to or generated by the service, including conversation content, lead and buyer information, inventory and pricing data, outcomes and usage data, for any lawful purpose HCM deems appropriate. This includes HCM's own marketing, the marketing of its products and partners, the building and licensing of data products such as market, pricing and valuation information, and resale to third parties.

One exception applies and cannot be waived: mobile telephone numbers and the consent records attached to them are used only to deliver the service to the dealership that collected them. They are never sold, rented or shared with third parties for those parties' own marketing, as carrier registration rules require.

The dealership represents that it has the rights and consents needed to submit the data it provides and to grant this licence. Where the law gives an individual the right to limit the sale or sharing of their personal information, HCM honours that right as described in the privacy policy.

Acceptable use

The service may not be used to send unsolicited messages, to contact anyone who has opted out, or to misrepresent who is sending a message.

Liability

Keelson is provided with reasonable care but without a guarantee of any particular sales result. HCM's total liability for any claim is limited to the fees paid in the twelve months before the claim, except where the law does not allow that limit. Neither party is liable for indirect, consequential or lost-profit damages.

Governing law and disputes

These terms and any dispute arising out of or relating to them, the website or the service are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. The state and federal courts located in Tennessee have exclusive jurisdiction over any such dispute, and each party consents to personal jurisdiction and venue in those courts and waives any objection based on inconvenient forum.
